Agreement to these terms

These Terms of Use govern access to and use of Preserve Signal. By creating an account, purchasing a membership, using the website or using the Preserve Signal platform, you agree to these terms.

Preserve Signal is currently operated under the Preserve Signal name. If the company later operates through a formal legal entity, these terms will apply to that entity unless updated terms say otherwise.

Use of Preserve Signal

Preserve Signal provides project intelligence compiled from public and open-source information. A paid membership gives the subscribing individual or organization permission to use the platform and its exports for that organization’s internal business purposes.

Preserve Signal is an informational tool. It does not provide legal, procurement, financial, architectural, engineering, bidding or other professional advice.

Subscriptions, payment and renewal

Memberships are billed according to the plan selected at checkout. Unless a plan says otherwise, subscriptions renew automatically until canceled. You authorize Preserve Signal and its payment processor to charge the payment method on file for recurring fees, additional user seats, applicable taxes and other charges tied to your selected plan.

You are responsible for keeping billing information current. If payment fails, Preserve Signal may suspend or limit access until payment is resolved.

Cancellation and refunds

You may cancel your membership according to the cancellation process made available in your account or by contacting hello@preservesignal.com. Cancellation stops future renewal charges, but it does not automatically refund amounts already paid.

Unless required by law or expressly stated in writing, payments are non-refundable. After cancellation, access may continue through the end of the paid billing period or end earlier if required for misuse, nonpayment or a violation of these terms.

Exports and permitted use

Members may export selected project records for internal business use. Exports are limited to 100 records at a time and identify Preserve Signal and the export date.

You may not resell, sublicense, publish, redistribute or share Preserve Signal data outside your organization, or use the data to create, train, support or operate a competing database, directory, intelligence product or service.

Access limits and prohibited use

You may not scrape, crawl, bulk download, harvest, copy or extract Preserve Signal content except through export tools we make available inside the product. You may not use automated tools to access the platform, bypass usage limits, interfere with the service, reverse engineer the product, test for vulnerabilities without permission or attempt to gain unauthorized access.

You may not share login credentials outside your organization. Additional users must have their own authorized seats when required by the selected plan.

Our data and methods

Preserve Signal retains all rights in its compilation, organization, monitoring processes, research methods, scoring and confidence logic, source analysis and other proprietary aspects of the service. A membership does not transfer ownership of those materials.

Public-source information

Project information is based on sources believed to be reliable, but it may change, become outdated, contain errors or be incomplete. Preserve Signal does not guarantee that all relevant projects, solicitations, awards, contractors, funding changes, deadlines, stage changes or other developments will be captured.

Members are responsible for confirming material facts directly with project owners, agencies, procurement portals, official records and other primary sources before relying on them for a business decision.

Account access

Keep your account credentials secure. You are responsible for activity under your account, including activity by invited users or anyone who gains access through your credentials.

Suspension or termination

Preserve Signal may suspend, limit or terminate access for nonpayment, suspected misuse, security concerns, abuse of the platform, violation of these terms or conduct that may harm Preserve Signal, other users or the service.

Disclaimer of warranties

Preserve Signal is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Preserve Signal disclaims warranties of accuracy, completeness, availability, fitness for a particular purpose, non-infringement and any warranties implied by course of dealing or usage of trade.

Limitation of liability

To the fullest extent permitted by law, Preserve Signal will not be liable for lost profits, lost business opportunities, lost data, procurement losses, indirect damages, incidental damages, consequential damages, special damages or punitive damages arising from use of the service.

To the fullest extent permitted by law, Preserve Signal’s total liability for any claim related to the service will not exceed the amount you paid to Preserve Signal during the three months before the event giving rise to the claim.

Governing law

These terms are governed by the laws of the State of North Carolina, without regard to conflict of law rules.
